TERMS OF USE

Welcome to the Celagenix Corporate Academy ("Academy"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "your", or "Student") and Celagenix Holdings (Pty) Ltd. ("we", "us", "our", or "Celagenix") governing your access to and use of our online learning platform hosted on Thinkific.
BY CREATING AN ACCOUNT, ENROLLING IN A COURSE, OR ACCESSING THE ACADEMY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE ACADEMY.
1. Acceptance of Terms
These Terms apply to all Students, visitors, and users of the Academy. By using our services, you also agree to our Privacy Policy, which is incorporated into these Terms by reference. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on the Academy platform. Your continued use of the Academy after any changes constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years of age to create an account and enroll in the Academy. By creating an account, you represent and warrant that you are 18 years or older and have the legal capacity to enter into these Terms.
3. Account Registration and Security
To access courses, you must create an account and provide accurate, complete, and current information, including your full name, national identification number, email address, and contact number. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You may not share your login credentials with any other person. Accounts are non-transferable.
4. Course Enrollment and Payments
4.1 Payment Terms
Course fees must be paid in full at the time of enrollment through our approved payment processors (PayPal or Stripe). All prices are listed in the applicable currency and are subject to change without notice. You are responsible for any applicable taxes, transaction fees, or currency conversion charges imposed by your financial institution or payment processor.
4.2 No Refund Policy
Due to the nature of our business as an educational institution providing immediate access to digital course materials, we do not offer refunds for course enrollments. Once you have enrolled in a course and gained access to the content, all payments are final and non-refundable.
If you are dissatisfied with a course or encounter technical issues, please contact us at [email protected]. We will work with you to address your concerns and may, at our sole discretion, provide alternative solutions such as course credits or access to updated materials, but we are under no obligation to provide refunds.
5. Course Access and Duration
5.1 Access Period
Students will have access to enrolled courses for a period of three (3) months from the date of enrollment. This access period is necessary because the subject matter and applicable regulations in our courses change frequently, and we must ensure that all Students have access to current and accurate information.
5.2 Re-Enrollment
If your access expires before course completion, or if you wish to access updated course materials, you may re-enroll in the course by paying the applicable course fee at that time. Re-enrollment fees may differ from your original enrollment fee.
5.3 Course Modifications
We reserve the right to modify, update, or discontinue courses at any time as the regulatory and professional landscape changes. If a course is significantly updated or replaced while you have active access, you will be automatically enrolled in the updated version at no additional cost. We will make reasonable efforts to notify you of substantial course changes, but we may update course content without prior notice to ensure information remains current and accurate.
6. Certificates of Completion
6.1 Certificate Requirements
To receive a certificate of completion, you must:
- Complete 100% of the course content
- Achieve an overall score of at least 75% on all course assessments
Certificates will be issued electronically upon successful completion and will include your full name and national identification number as provided during enrollment.
6.2 Certificate Validity and Renewal
Certificates issued by the Academy are valid for twelve (12) months from the date of issuance. Due to the rapidly changing nature of regulations, legislation, and best practices in our field, you will need to re-enroll in the course or take an updated version to receive a renewed certificate after expiration.
6.3 Duplicate Certificates
Students may request duplicate electronic certificates at any time by contacting [email protected]. Only electronic certificates are issued; we do not provide physical certificates.
6.4 Certificate Use and Limitations
Certificates may be used for employment purposes and professional development records. However:
- We are not an accredited academic institution and our certificates do not constitute university diplomas, degrees, or formal academic qualifications
- We cannot be held responsible for employment outcomes or decisions made by employers regarding our certificates
- We do not provide reference letters or employment recommendations
- You may not misrepresent your certificate as a university qualification or formal accredited credential
7. Intellectual Property Rights
7.1 Celagenix Intellectual Property
All course content, including but not limited to videos, presentations, reading materials, assessments, eBooks, graphics, text, software, and other materials provided through the Academy ("Course Materials"), are the exclusive property of Celagenix Holdings (Pty) Ltd. and are protected by copyright, trademark, and other intellectual property laws.
7.2 License to Use Course Materials
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Course Materials solely for your personal, non-commercial educational purposes during your active enrollment period.
7.3 Permitted Use
You may download certain Course Materials such as pre-reading documents, presentations, and eBooks for your personal study and reference. You may retain these materials for your own use after your enrollment period expires.
7.4 Prohibited Use
You may NOT:
- Distribute, share, sell, rent, lease, or sublicense any Course Materials to third parties without our prior written consent
- Use Course Materials for commercial purposes or financial gain
- Record, screenshot, or capture video content from the Academy platform
- Modify, adapt, translate, reverse engineer, or create derivative works based on Course Materials
- Remove, obscure, or alter any copyright, trademark, or proprietary notices from Course Materials
- Share your account login credentials or allow others to access the Academy using your account
- Resell, transfer, or provide access to courses to individuals who have not enrolled directly with Celagenix
7.5 Student-Created Content
Any content you create during your enrollment, such as assignments, submissions, or assessment responses, will be retained on our Customer Relationship Management (CRM) system for historical records and quality assurance purposes. You grant us a perpetual, royalty-free license to retain and use this content for internal administrative and educational improvement purposes.
Forum posts and discussion contributions are considered general content and will be retained on the Learning Management System (LMS) and archived quarterly for reference and platform improvement purposes.
8. Student Conduct and Acceptable Use
As a Student of the Academy, you agree to:
- Use the Academy only for lawful purposes and in accordance with these Terms
- Respect the intellectual property rights of Celagenix and other Students
- Engage respectfully with other Students and instructors in forums and discussions
- Not engage in any conduct that disrupts or interferes with the Academy platform or other Students' learning experience
- Not attempt to gain unauthorized access to any portion of the Academy or related systems
- Not use the Academy to transmit viruses, malware, or other harmful code
- Not impersonate any person or entity or misrepresent your affiliation with any person or entity
Violation of these conduct rules may result in immediate suspension or termination of your account and access to the Academy without refund.
9. Technical Requirements and Responsibilities
9.1 Minimum Technical Requirements
To access and use the Academy, you must have:
- A computer, tablet, or mobile device with internet access
- A modern web browser (Chrome, Firefox, Safari, or Edge)
- Sufficient internet bandwidth to view video content without buffering or interruption
9.2 Student Responsibility
You are solely responsible for ensuring you have the necessary equipment, internet connectivity, and technical capacity to access the Academy. We are not responsible for any technical issues, connectivity problems, or equipment failures on your end that prevent you from accessing course content.
However, if you are unable to access the Academy platform or login due to issues with our systems or servers, please contact us immediately at [email protected], and we will work to resolve the issue promptly.
10. Continuous Professional Development
It is your responsibility as a Student to engage in continuous professional development and to stay informed of changes, updates, and amendments to legislation, regulations, and best practices in your field.
While we make every reasonable effort to keep our course content current and accurate, we cannot guarantee that all information will reflect the most recent legislative or regulatory changes at all times. We cannot be held responsible for any damages, losses, or consequences you may suffer as a result of:
- Being uninformed of updates to legislation, regulations, or industry standards
- Relying solely on course content without independent verification or research
- Delays in updating course materials to reflect recent changes
You acknowledge that professional competence requires ongoing learning beyond the courses offered by the Academy.
11. Disclaimers and Limitations of Liability
11.1 Educational Content Disclaimer
THE ACADEMY PROVIDES EDUCATIONAL CONTENT FOR INFORMATIONAL AND PROFESSIONAL DEVELOPMENT PURPOSES ONLY. COURSE CONTENT DOES NOT CONSTITUTE LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE. You should consult with qualified professionals regarding specific situations in your work or jurisdiction.
11.2 No Accreditation Disclaimer
CELAGENIX CORPORATE ACADEMY IS NOT AN ACCREDITED ACADEMIC INSTITUTION. We cannot be held liable for any:
- Misapplication of course content in your professional or personal context
- Misrepresentation of your qualifications or certificates to employers or third parties
- Claims by you that you hold a university diploma, degree, or accredited qualification based on our certificates
- Employment decisions, hiring outcomes, promotions, or career advancement based on our certificates
11.3 No Warranties
THE ACADEMY AND ALL COURSE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Academy will be uninterrupted, timely, secure, or error-free
- Course content will be complete, accurate, or up-to-date at all times
- Any defects or errors will be corrected
- The Academy will meet your specific requirements or expectations
11.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CELAGENIX HOLDINGS (PTY) LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Academy
- Any conduct or content of any third party on the Academy
- Unauthorized access, use, or alteration of your content or data
- Application of course content in your professional or personal activities
- Reliance on outdated or inaccurate course information
- Employment outcomes or professional decisions based on our certificates
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO CELAGENIX FOR THE SPECIFIC COURSE GIVING RISE TO THE CLAIM.
12. Account Termination and Suspension
12.1 Termination by You
You may terminate your account at any time by contacting us at [email protected]. Please note that account termination does not entitle you to a refund of any fees paid.
12.2 Termination by Celagenix
We reserve the right to suspend or terminate your account and access to the Academy immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Violation of intellectual property rights
- Fraudulent, abusive, or illegal activity
- Sharing account credentials or unauthorized access
- Disruption of the Academy or other Students' experience
Upon termination, your right to access the Academy will immediately cease, and you will forfeit any remaining access period without refund.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of South Africa and applicable laws within Sub-Saharan Africa, without regard to conflict of law principles.
13.2 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Academy, you agree to first contact us at [email protected] to attempt to resolve the matter informally.
If the dispute cannot be resolved informally within thirty (30) days, the dispute shall be resolved through binding arbitration administered by the Celagenix Arbitrator. You may contact the Celagenix Arbitrator at [email protected].
The arbitration shall be conducted in accordance with the rules and procedures established by Celagenix, and the arbitrator's decision shall be final and binding. Each party shall bear its own costs and expenses in connection with the arbitration.
BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14. Indemnification
You agree to indemnify, defend, and hold harmless Celagenix Holdings (Pty) Ltd., its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to the Academy
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Misrepresentation of your qualifications or certificates
- Any claims related to your application of course content
15. Miscellaneous Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Celagenix regarding the use of the Academy and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.
15.5 Notices
All notices and communications under these Terms shall be sent to [email protected]. We may provide notices to you via email to the address you provided during registration or by posting notices on the Academy platform.
