Welcome to the Celagenix Corporate Academy ("Academy"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "your", or "Student") and Celagenix Holdings (Pty) Ltd. ("we", "us", "our", or "Celagenix") governing your access to and use of our online learning platform hosted on Thinkific.

BY CREATING AN ACCOUNT, ENROLLING IN A COURSE, OR ACCESSING THE ACADEMY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE ACADEMY.

1. Acceptance of Terms

These Terms apply to all Students, visitors, and users of the Academy. By using our services, you also agree to our Privacy Policy, which is incorporated into these Terms by reference. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on the Academy platform. Your continued use of the Academy after any changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to create an account and enroll in the Academy. By creating an account, you represent and warrant that you are 18 years or older and have the legal capacity to enter into these Terms.

4. Course Enrollment and Payments

4.1 Payment Terms

Course fees must be paid in full at the time of enrollment through our approved payment processors (PayPal or Stripe). All prices are listed in the applicable currency and are subject to change without notice. You are responsible for any applicable taxes, transaction fees, or currency conversion charges imposed by your financial institution or payment processor.

4.2 No Refund Policy

Due to the nature of our business as an educational institution providing immediate access to digital course materials, we do not offer refunds for course enrollments. Once you have enrolled in a course and gained access to the content, all payments are final and non-refundable.

We will work with you to address your concerns and may, at our sole discretion, provide alternative solutions such as course credits or access to updated materials, but we are under no obligation to provide refunds.

5. Course Access and Duration

5.1 Access Period

Students will have access to enrolled courses for a period of three (3) months from the date of enrollment. This access period is necessary because the subject matter and applicable regulations in our courses change frequently, and we must ensure that all Students have access to current and accurate information.

5.2 Re-Enrollment

If your access expires before course completion, or if you wish to access updated course materials, you may re-enroll in the course by paying the applicable course fee at that time. Re-enrollment fees may differ from your original enrollment fee.

5.3 Course Modifications

We reserve the right to modify, update, or discontinue courses at any time as the regulatory and professional landscape changes. If a course is significantly updated or replaced while you have active access, you will be automatically enrolled in the updated version at no additional cost. We will make reasonable efforts to notify you of substantial course changes, but we may update course content without prior notice to ensure information remains current and accurate.

6. Certificates of Completion

6.1 Certificate Requirements

To receive a certificate of completion, you must:

6.2 Certificate Validity and Renewal

Certificates issued by the Academy are valid for twelve (12) months from the date of issuance. Due to the rapidly changing nature of regulations, legislation, and best practices in our field, you will need to re-enroll in the course or take an updated version to receive a renewed certificate after expiration.

6.3 Duplicate Certificates

Students may request duplicate electronic certificates at any time by contacting [email protected]. Only electronic certificates are issued; we do not provide physical certificates.

7.1 Celagenix Intellectual Property

All course content, including but not limited to videos, presentations, reading materials, assessments, eBooks, graphics, text, software, and other materials provided through the Academy ("Course Materials"), are the exclusive property of Celagenix Holdings (Pty) Ltd. and are protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use Course Materials

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Course Materials solely for your personal, non-commercial educational purposes during your active enrollment period.

7.3 Permitted Use

You may download certain Course Materials such as pre-reading documents, presentations, and eBooks for your personal study and reference. You may retain these materials for your own use after your enrollment period expires.

Any content you create during your enrollment, such as assignments, submissions, or assessment responses, will be retained on our Customer Relationship Management (CRM) system for historical records and quality assurance purposes. You grant us a perpetual, royalty-free license to retain and use this content for internal administrative and educational improvement purposes.

Forum posts and discussion contributions are considered general content and will be retained on the Learning Management System (LMS) and archived quarterly for reference and platform improvement purposes.

8. Student Conduct and Acceptable Use

As a Student of the Academy, you agree to:

It is your responsibility as a Student to engage in continuous professional development and to stay informed of changes, updates, and amendments to legislation, regulations, and best practices in your field.

While we make every reasonable effort to keep our course content current and accurate, we cannot guarantee that all information will reflect the most recent legislative or regulatory changes at all times. We cannot be held responsible for any damages, losses, or consequences you may suffer as a result of:

12. Account Termination and Suspension

12.1 Termination by You

12.2 Termination by Celagenix

We reserve the right to suspend or terminate your account and access to the Academy immediately, without prior notice or liability, for any reason, including but not limited to:

Upon termination, your right to access the Academy will immediately cease, and you will forfeit any remaining access period without refund.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa and applicable laws within Sub-Saharan Africa, without regard to conflict of law principles.

13.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Academy, you agree to first contact us at [email protected] to attempt to resolve the matter informally.

If the dispute cannot be resolved informally within thirty (30) days, the dispute shall be resolved through binding arbitration administered by the Celagenix Arbitrator. You may contact the Celagenix Arbitrator at [email protected].

The arbitration shall be conducted in accordance with the rules and procedures established by Celagenix, and the arbitrator's decision shall be final and binding. Each party shall bear its own costs and expenses in connection with the arbitration.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

You agree to indemnify, defend, and hold harmless Celagenix Holdings (Pty) Ltd., its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Celagenix regarding the use of the Academy and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.
